These Terms of Service govern the use of services provided by Alphasoft Limited ("Alphasoft", "we", "us" or "our").

Our services may include website design and development, website maintenance, web hosting, domain registration and management, and related digital services.

1. Acceptance of These Terms

By requesting, purchasing, accessing, using or continuing to use any service provided by Alphasoft Limited, you expressly confirm that you have read, understood and agreed to these Terms of Service.

If you use our services on behalf of a company or organisation, you confirm that you have the authority to accept these Terms on its behalf.

If you do not agree to these Terms, you should not use or continue using our services.

2. Our Services

The specific services, deliverables, fees and timelines applicable to a Client will be as agreed in the relevant quotation, proposal, invoice or written agreement.

Any services or work outside the agreed scope may require additional fees and a separate agreement.

3. Client Responsibilities

The Client is responsible for:

  • Providing accurate information required to deliver the services.
  • Providing required content, materials, approvals and feedback in a timely manner.
  • Keeping account credentials and access details secure.
    Ensuring that all content, products, services and activities conducted through their account or website comply with applicable laws.
  • Maintaining appropriate copies of important data and content.

The Client is responsible for all activities carried out through their account or by persons authorised or permitted by them to access the Services.

4. Acceptable Use

Our services must not be used for unlawful, fraudulent, abusive or harmful activities.

The Client must not use, or permit others to use, our services for activities including:

  • Spam or unsolicited bulk communications.
  • Phishing, scams, impersonation or fraud.
    Malware, viruses or harmful software.
  • Unauthorised access to systems, networks or accounts.
    Copyright or intellectual property infringement.
  • Unlawful or abusive content or activities.
  • Activities that compromise the security, stability or performance of our systems or other customers.
  • Any other activity that violates applicable law.

5. Online Abuse, Investigations and Cooperation

Where Alphasoft becomes aware of, receives a complaint about, or reasonably suspects that any Client account, website, domain, hosting service, email service or other service is being used for unlawful, fraudulent, abusive or harmful activity, we may take reasonable action to protect our systems, customers and services, or to comply with applicable law.

Such action may include:

  • Investigating the matter.
  • Preserving relevant records or logs.
  • Restricting or suspending access to the affected service.
    Removing or disabling access to content where necessary or required.
  • Terminating the affected service.
  • Cooperating with competent authorities or lawful requests where required.

The Client remains responsible for activities conducted through their account and for ensuring that authorised users comply with these Terms and applicable law.

6. Suspension or Termination of Services

Alphasoft may suspend, restrict or terminate a service where we reasonably believe that:

  • These Terms have been violated.
  • The service is being misused.
  • The service creates a security, legal or operational risk.
  • The service may negatively affect our infrastructure, reputation or other customers.
  • Suspension or termination is required by law or a competent authority.
  • Fees remain unpaid beyond the applicable payment period.

Where practical and appropriate, we may notify the Client before taking such action. However, immediate action may be taken where necessary to prevent harm or protect our systems and services.

7. Website Development Services

Website development services will be provided according to the agreed project scope.

The Client is responsible for reviewing and approving work at agreed stages. Delays in providing content, feedback or approvals may affect project timelines.

Changes or additional work outside the agreed scope may be subject to additional charges and revised timelines.

8. Client Content

The Client is responsible for all content provided or published through their website or services, including text, images, documents, videos, products, software and other materials.

The Client confirms that they have the necessary rights and permissions to use such content.

Alphasoft is not responsible for the legality, accuracy or consequences of Client content or activities.

9. Hosting Services

Where hosting is provided by Alphasoft, we will take reasonable measures to maintain the availability and security of the hosting environment.

However, uninterrupted or error-free service cannot be guaranteed.

The Client remains responsible for the proper use of their hosted website, applications, content and accounts. Alphasoft may apply reasonable security, resource or operational restrictions to protect its infrastructure and other customers.

10. Domain Services

Domain registration and renewal are subject to domain availability and the rules of the relevant registrar and registry.

The Client is responsible for providing accurate registration information and ensuring applicable renewal fees are paid on time.

Alphasoft cannot guarantee that a domain will remain available where circumstances are beyond our reasonable control. Failure to renew a domain before the applicable deadline may result in expiry, suspension, additional fees or loss of the domain.

11. Third-Party Services

Some services may depend on third-party providers, including hosting providers, domain registrars, payment providers, software platforms and other technology providers.

Alphasoft is not responsible for interruptions, changes or failures caused by third parties beyond our reasonable control. Certain third-party services may also be subject to their own terms and policies.

12. Payments

Service fees and payment terms will be communicated through the applicable quotation, proposal, invoice or agreement.

Recurring services, including hosting, domains and maintenance services, must be paid or renewed according to the agreed billing period.

Alphasoft may suspend or withhold services where payments remain overdue.

13. Backups and Data

Where backups are provided as part of a service, they are intended as a reasonable recovery measure and should not be considered the Client's only backup.

Clients are encouraged to maintain independent copies of critical data, content and business information.

14. Client Responsibility and Indemnity

The Client is solely responsible for the use of their account and Services, including content, communications, data, software and activities carried out by the Client or persons authorised by the Client.

To the extent permitted by applicable law, the Client agrees to indemnify Alphasoft Limited against claims, losses, liabilities, damages, penalties and reasonable costs arising from the Client's unlawful use or misuse of the Services, Client content, or activities carried out through the Client's account.

This does not apply to the extent that such claims or losses are directly caused by Alphasoft's own unlawful conduct or failure to meet obligations that cannot lawfully be excluded.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Alphasoft Limited shall not be liable for indirect, incidental or consequential losses arising from the use of, inability to use or interruption of our services.

Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited.

16. Termination

Either party may terminate services in accordance with the applicable service agreement, quotation or billing arrangement.

Termination does not remove the Client's responsibility for outstanding payments or obligations that arose before termination.

Upon termination, services, data or other associated resources may be suspended, transferred, retained or deleted in accordance with the applicable service arrangement and relevant technical or third-party requirements.

17. Changes to These Terms

Alphasoft may update these Terms from time to time. Updated Terms will be published on our website.
By continuing to use our services after updated Terms have been published, you expressly accept the revised Terms.

18. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws of Uganda, unless otherwise agreed in writing.
